Terms of Service

    The Alpha Omega Hub
    Last updated: August 17, 2026

These Terms of Service ("Terms") govern all services provided by The Alpha Omega Hub LLC, a Florida limited liability company located at 500 110th Ave N, Suite 510, St. Petersburg, FL 33716, USA, doing business as The Alpha Omega Hub ("TAOH", "we", "us", "our"), to any person or entity that purchases or uses those services ("Client", "you", "your").

By signing a proposal, accepting a quote, paying an invoice, granting us access to your accounts, or otherwise instructing us to begin work, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it.

If a signed agreement between you and TAOH conflicts with these Terms, the signed agreement controls for that conflict only. Everything else in these Terms continues to apply.

    1. Services

TAOH provides marketing and video advertising services which may include, depending on what you have purchased:

    • video ad production, filming, and editing
    • scriptwriting and creative concepting
    • ad strategy and marketing angles
    • paid advertising management (Meta, Instagram, Facebook, TikTok, Google, YouTube, and other platforms)
    • reporting and strategic recommendations

The specific services, deliverables, quantities, and fees applicable to you are those set out in your proposal, quote, invoice, or signed agreement (your "Order").

We may use subcontractors, freelancers, videographers, editors, and software tools to deliver the services. We remain responsible to you for the services we deliver.

    2. No guarantee of results

We apply professional skill and commercially reasonable efforts to every project.

We do not guarantee any specific outcome, including views, reach, engagement, followers, leads, bookings, appointments, sales, revenue, conversion rate, cost per acquisition, return on ad spend, search ranking, or any other business or performance metric. Marketing results depend on many factors outside our control, including your offer, pricing, market, competition, sales process, capacity to serve customers, and third-party platform behaviour.

Any forecast, projection, benchmark, case study, or past result we share is an illustration, not a promise.

    3. Fees and payment

Fees are set out in your Order. Unless your Order says otherwise:

    • fees are quoted and payable in US dollars
    • fees are due in advance of the period or work they cover
    • recurring fees are billed monthly on the same date each month
    • you authorise us to charge your saved payment method for recurring fees
    • you are responsible for any taxes, bank charges, currency conversion costs, and payment-processing fees

Advertising spend is not included in our fees. Media budgets paid to advertising platforms are your own cost, billed directly to you by the platform. You are responsible for keeping a valid payment method and sufficient budget on every platform we manage for you.

If a payment is late, declined, or reversed, we may pause or suspend all services without notice until the account is brought current. Suspension does not extend your billing period, pause your fees, or entitle you to a credit.

    4. No refunds

All fees paid to TAOH are non-refundable.

This includes onboarding and setup fees, monthly management and retainer fees, project fees, deposits, shoot fees, and fees for work already scheduled or in progress. It applies whether or not you use the services, attend a scheduled shoot, supply materials on time, respond to requests, or approve deliverables.

If you cancel, we stop work at the end of the period you have already paid for. We do not pro-rate, credit, or refund any part of that period.

Non-refundability reflects the fact that we reserve production capacity, crew, editing time, and media-buying resources for you in advance, and that those costs are committed once your period begins.

Nothing in this section limits any right you have under mandatory consumer law that cannot be excluded by contract.

    5. Term, renewal and cancellation

Unless your Order says otherwise, recurring engagements run for an initial term of one (1) month and then renew automatically month to month.

Either party may cancel by giving at least seven (7) days' written notice before the next renewal date. Notice sent to contact@thealphaomegahub.com counts as written notice. Cancellation takes effect at the end of the current paid period.

We may suspend or terminate immediately, without refund, if you:

    • fail to pay
    • breach these Terms
    • ask us to produce or run content that is unlawful, misleading, discriminatory, or in breach of platform policy
    • behave abusively toward our team or subcontractors
    • have account, platform, or compliance issues that make performance impossible or unreasonable

Termination does not cancel amounts already due.

    6. Your responsibilities

To let us do our job, you agree to provide, promptly and accurately:

    • access to the accounts, platforms, pages, ad accounts, pixels, analytics, and assets we need
    • your business information, offers, pricing, positioning, and target audience
    • brand assets, logos, footage, images, testimonials, and any other materials you want used
    • locations, participants, staff, and permissions needed for filming
    • feedback, approvals, and decisions within the review periods described in section 7

We are not responsible for delays, weakened performance, rejected ads, missed deadlines, or account problems that result from missing access, late approvals, inaccurate information, insufficient ad budget, unavailable participants, or your non-compliance with platform rules or applicable law.

If a project stalls on your side for more than thirty (30) days, we may close it as delivered and invoice any remaining balance.

    7. Deliverables, review and approval

Scripts and videos are delivered through a review link where you can leave notes directly on the deliverable and send your decision.

Review period. You have seven (7) days from delivery to review and send a decision. For scripts, the period ends seven days after delivery or on the day of the shoot, whichever comes first, because the script must be locked before we can film it.

Comments are not a decision. Notes left on the review platform tell us what you think; they do not tell us what to do next. To close a round you must send a decision from the review page — either a revision request or an approval. If we receive no decision before the review period ends, the deliverable is deemed approved and we proceed.

Revisions during the review period are part of the project and are not charged separately.

Approved scripts are locked. Once you approve a script it is final for production. We film the approved script as written and do not make changes on the day of the shoot. This keeps shoot days efficient and on schedule, and it means the video you receive matches what you signed off on.

Approved videos close the project. Once you approve a video, that deliverable is complete. If you want changes afterwards we're glad to help — post-approval edits are available as an optional add-on at USD 50 per revision. It is entirely your choice, and approved work stays delivered either way.

    8. Delivery, download and storage

Once a video deliverable is final and approved, we will send you a download link by email to the email address associated with your account.

The final deliverables will be stored on our servers and available for download for thirty (30) days from the date the download link is sent. You are responsible for downloading and saving your deliverables within that 30-day window.

After the 30-day storage period ends, we may remove the deliverables from our servers without further notice. We are not responsible for hosting, storing, archiving, or retrieving your videos after that period. If you need us to re-upload or re-deliver files after the 30-day period, we may do so at our discretion and may charge an additional fee for that service.

This storage limit applies to final, approved deliverables. Raw footage, project files, and working files are not kept as standard deliverables and are not covered by this 30-day download obligation.

    9. Your content and clearances

You are responsible for everything you give us or ask us to feature. You confirm that, for all materials, people, music, footage, images, trademarks, products, locations, and claims you supply or request:

    • you own them or hold all rights and licences needed for the intended use
    • every identifiable person has consented to being filmed, photographed, and used in advertising
    • every testimonial reflects a real customer's honest experience
    • you have permission to film at every location, and each location is safe and adequately insured

We may refuse to produce or publish anything we reasonably believe infringes third-party rights, breaches platform policy, or breaks the law.

    10. Legal and regulatory compliance

You are solely responsible for ensuring that your business, your offers, your claims, and the content we produce for you comply with every law and regulation that applies to you, in every jurisdiction where the content is published, distributed, or acted upon. This includes, without limitation, advertising and consumer-protection law, health, medical, wellness, fitness, supplement, financial, and professional-licensing rules, endorsement and testimonial disclosure requirements, pricing and promotion rules, accessibility requirements, and data-protection and privacy law.

You know your industry, your licences, your regulator, and your permitted claims. We do not, and we do not act as your legal, medical, financial, or regulatory adviser.

We will use reasonable care and industry good practice to produce content that is professional and consistent with the platform policies and general advertising standards we work with day to day, and we will flag anything that looks problematic to us. This is an effort, not a guarantee, and it does not transfer responsibility to us. We do not verify, substantiate, audit, or approve your claims, credentials, licences, results, or compliance status, and we rely entirely on the accuracy of what you tell us.

Final review and approval of every deliverable is yours. By approving a script, video, ad, caption, or any other deliverable, you confirm you have satisfied yourself that it is accurate, substantiated, and lawful for your business to publish.

    11. How you use the deliverables

Once a deliverable is delivered to you, you have full and sole accountability for how it is used — where it is published, to whom it is targeted, how long it runs, how it is edited, repurposed, translated, or combined with other material, and what claims accompany it.

TAOH is not responsible or liable for any consequence of your use of the deliverables, including regulatory action, platform enforcement, account suspension, third-party claims, complaints, reputational harm, or business loss.

This applies equally to any use after our engagement ends, any use outside the purpose the content was created for, and any modification made by you or anyone acting for you.

    12. Intellectual property

Yours. You keep ownership of your brand, trademarks, logos, accounts, customer data, and any materials you supply.

Ours. We keep ownership of our processes, templates, frameworks, strategies, systems, know-how, prompts, internal tools, project files, and any pre-existing or general-purpose material. Nothing in these Terms transfers those to you.

Deliverables. On receipt of full payment for the relevant deliverable, we grant you a perpetual, worldwide, non-exclusive licence to use, publish, and adapt that final deliverable for your own business and marketing. This licence does not cover our internal tools, systems or proprietary methods, and it does not begin until payment clears.

Raw files. Raw footage, project files, and working files remain ours and are not included as standard. They may be available separately by written agreement.

Third-party assets. Stock footage, music, fonts, and similar assets are licensed to you on the terms of the original licence, which may be limited in scope or duration.

    13. Portfolio and promotional use

Unless you tell us otherwise in writing, we may display work we produced for you — including videos, stills, ads, and anonymised performance figures — in our portfolio, website, social media, case studies, and sales materials. We will not disclose information you have marked confidential. You may withdraw this permission at any time by writing to us, effective for future use.

    14. Third-party platforms

Advertising and social platforms are operated by third parties on their own terms. We are not responsible for platform outages, billing errors, ad rejections, delivery changes, account restrictions, suspensions, bans, policy changes, algorithm changes, price changes, feature removals, data loss, or any other third-party decision — even where it stops us delivering, or damages your results.

Where a platform requires access to your accounts, you remain the account owner and are responsible for complying with that platform's terms.

    15. Confidentiality

Each party will keep the other's confidential business, financial, technical, customer, and marketing information private, and will not disclose it except to people who need it to perform these Terms, or where required by law. This obligation survives termination.

    16. Disclaimer of warranties

Except as expressly stated in these Terms, the services and deliverables are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free performance.

    17. Limitation of liability

To the maximum extent permitted by law:

    • we are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, lost business, lost data, lost opportunity, wasted ad spend, or reputational harm, even if we were told such damages were possible
    • our total aggregate liability for all claims arising out of or relating to the services, whether in contract, tort, or otherwise, will not exceed the total fees you paid to TAOH in the one (1) month immediately before the event giving rise to the claim
    • ad spend paid to platforms is not a fee paid to TAOH and is excluded from that calculation

    18. Indemnification

You will defend, indemnify, and hold harmless TAOH, The Alpha Omega Hub LLC, and their officers, employees, contractors, and agents from and against any claim, demand, investigation, penalty, damage, loss, cost, and expense (including reasonable legal fees) arising out of or relating to:

    • your products, services, offers, pricing, claims, testimonials, or business practices
    • materials, information, footage, or instructions you supplied or approved
    • your use, publication, targeting, or modification of any deliverable
    • your breach of law, regulation, professional or licensing rules, or platform policy
    • your breach of these Terms

    19. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including illness, injury, extreme weather, natural disaster, power or internet failure, strike, civil unrest, war, epidemic, government action, or third-party platform failure. Where a shoot is prevented by such an event, we will reschedule in good faith; rescheduling does not create a right to a refund.

    20. Non-solicitation

During the engagement and for twelve (12) months afterwards, you will not directly or indirectly solicit for employment or engagement any TAOH employee, contractor, videographer, editor, or other team member introduced to you through the engagement, without our prior written consent.

    21. Independent contractor

We act as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship, and neither party may bind the other.

    22. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and both parties consent to that jurisdiction, unless applicable law requires otherwise.

Before starting proceedings, both parties agree to attempt in good faith to resolve the dispute by direct discussion for at least thirty (30) days.

    23. Changes to these Terms

We may update these Terms from time to time. The version published on our website when you place an Order, or when your engagement renews, is the version that applies to you. Material changes will be communicated by email or by an updated "Last updated" date on this page. Continuing to use the services after an update means you accept the updated Terms.

    24. General

Electronic signatures and acceptance. These Terms and any Order may be accepted electronically, and electronic acceptance has the same effect as a handwritten signature to the fullest extent permitted by law.

Entire agreement. These Terms, together with your Order and any signed agreement, are the entire agreement between us regarding the services and replace any prior discussion, proposal, or representation.

Severability. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the rest stays in force.

No waiver. If we don't enforce a right, that isn't a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a sale of our business.

Survival. Sections covering payment, no refunds, compliance, use of deliverables, intellectual property, confidentiality, disclaimers, liability, indemnification, non-solicitation, and governing law survive termination.
